1. Agreement to Terms
By accessing or using any service provided by SparrowHost Technologies Private Limited ("SparrowHost", "we", "us", or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you ("Customer", "you", or "your") and SparrowHost Technologies Private Limited, a company incorporated under the laws of India on 22 December 2025.
2. Services
SparrowHost provides cloud computing infrastructure services including, but not limited to:
- Virtual Private Servers (VPS) — AMD EPYC, Intel Xeon, CPU-Optimized, and Memory-Optimized instances
- Dedicated Servers
- GPU Cloud instances
- Managed Databases
- Kubernetes clusters
- Object Storage
- Colocation services
- Network and DDoS protection services
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We shall not be liable to you or any third party for any modification or discontinuation of service.
3. Account Registration
To access our services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and not share it with any third party
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activity that occurs under your account
You must be at least 18 years of age to register for an account. By registering, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding agreements.
We reserve the right to refuse registration or cancel accounts at our sole discretion, including if we believe a user is violating these Terms.
4. Acceptable Use Policy
You agree not to use our services to:
- Send unsolicited bulk email (spam) or engage in any form of spamming
- Host or distribute malware, viruses, ransomware, or other malicious code
- Conduct distributed denial-of-service (DDoS) attacks or port scans against third parties
- Mine cryptocurrency without explicit written permission from SparrowHost
- Violate any applicable law, including but not limited to the Information Technology Act, 2000 (India) and GDPR where applicable
- Host child sexual abuse material (CSAM) or any other illegal content
- Infringe upon the intellectual property rights of others
- Conduct any activity that excessively burdens our network infrastructure
- Resell our services without prior written authorization
- Conduct phishing, fraud, or any deceptive practices
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and, where applicable, referral to appropriate law enforcement agencies.
5. Billing & Payment
All services are billed in advance on a monthly or annual basis as selected at time of purchase. Prices are listed in Indian Rupees (INR) unless otherwise stated.
- Payment methods: We accept major credit/debit cards, UPI, net banking, and select digital wallets via our payment partners.
- Auto-renewal: Subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal from your account dashboard at any time before the renewal date.
- Late payment: Services may be suspended if payment is not received within 7 days of the due date. Services are terminated and data deleted if payment remains outstanding after 14 days.
- Taxes: Prices are exclusive of applicable GST. GST at 18% will be added to all invoices for customers in India. You are responsible for all applicable taxes in your jurisdiction.
- Price changes: We may change pricing with 30 days' notice. Continued use of services after the notice period constitutes acceptance of the new pricing.
6. Service Level Agreement
SparrowHost commits to a 99.9% monthly uptime SLA for all VPS and Dedicated Server services. Uptime is calculated as:
Uptime % = ((Total minutes in month − Downtime minutes) / Total minutes in month) × 100
Scheduled maintenance windows are excluded from downtime calculations and will be communicated at least 48 hours in advance. In the event of an SLA breach:
- 99.0%–99.9% uptime: 5% credit of monthly service fee
- 95.0%–98.9% uptime: 10% credit of monthly service fee
- Below 95.0% uptime: 25% credit of monthly service fee
Credits must be claimed within 30 days of the incident by contacting support@sparrowhost.net. Credits are applied to future invoices and are not redeemable for cash.
7. Intellectual Property
All content on the SparrowHost website and control panel — including but not limited to text, graphics, logos, icons, images, software, and documentation — is owned by SparrowHost Technologies Private Limited or its licensors and is protected by applicable intellectual property laws.
You retain full ownership of all data, code, and content you upload to or create on our infrastructure. By using our services, you grant SparrowHost a limited, non-exclusive licence to host, store, and process your data solely for the purpose of providing the services.
8. Data & Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.
You are solely responsible for maintaining appropriate backups of your data. While we provide optional backup services, SparrowHost does not guarantee the availability or integrity of your data and is not liable for data loss.
9. Termination
By you: You may cancel your services at any time via the account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining portion of a billing period unless covered by our Refund Policy.
By us: We may suspend or terminate your account immediately without notice if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay outstanding invoices
- Engage in fraudulent or illegal activity
- Pose a security risk to our infrastructure or other customers
Upon termination, all your data stored on SparrowHost infrastructure will be permanently deleted within 30 days. We are not liable for any loss of data resulting from account termination.
10. Limitation of Liability
To the maximum extent permitted by applicable law, SparrowHost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:
- Your use of or inability to use our services
- Unauthorized access to or alteration of your data
- Actions or inactions of third parties
- Force majeure events including natural disasters, wars, government actions, or internet service disruptions
In no event shall our total aggregate liability exceed the amount paid by you to SparrowHost in the three (3) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless SparrowHost, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms
- Your use of our services
- Any content you store or transmit through our services
- Your violation of any rights of a third party
12. Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by posting the new Terms on our website and/or sending an email to the address associated with your account. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.
